1. Introduction

1.1 Welcome to Wisewell. Wisewell is a direct-to-consumer company focused on sustainable consumer technology, providing water purification devices and related services (the "Services") through its website (the "Site") and related platforms.

1.2 These Terms and Conditions (the "Terms") govern your subscription to Wisewell products and services ("Subscriptions"). By placing a Subscription Offer (as defined below), you agree to be bound by these Terms.

1.3 Please read these Terms carefully. These Terms constitute a legally binding agreement between you ("You", "Customer") and Wisewellwater Inc. ("Wisewell", "we", "us").

2. Communications

By accepting these Terms, you agree that communications may be made via:

  • Electronic mail ("Email")
  • Messaging platforms (including WhatsApp)
  • Notices posted on the Site

Such communications shall satisfy any legal requirement for written communication.

3. Eligibility

You represent that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into a binding contract

4. Use of services

You agree to use the Services only for lawful purposes and in accordance with these Terms.

5. Product listings

5.1 Product characteristics. Subscription products and services are described on the Site. We reserve the right to modify product characteristics, composition, packaging, or availability at our sole discretion, provided such changes do not affect already confirmed Subscriptions unless required by law.

5.2 Reusable packaging. Certain Subscription Products are delivered in reusable packaging. You agree to retain such packaging and return it where required upon product return or termination of the Subscription.

5.3 Product representation. Product images are illustrative only and may vary from actual products.

5.4 Availability. All products are subject to availability. If a product becomes unavailable prior to Subscription confirmation, we will notify you.

6. Ownership of subscription products

6.1 Ownership. At all times, Wisewell retains full ownership of Subscription Products unless explicitly stated otherwise in writing. We are not obligated to deliver products or perform services until full payment has been received.

6.2 Ownership labels. Subscription Products may include labels indicating Wisewell ownership. You agree not to remove, alter, or obscure such labels and to maintain them in good condition.

6.3 Use and possession. You shall not transfer, sublease, sell, or encumber Subscription Products while under your possession without prior written consent.

6.4 Return of products. Upon termination, cancellation, or request by Wisewell, you agree to return any Subscription Products owned by Wisewell in good condition (reasonable wear and tear excepted). Failure to return products may result in additional charges.

7. Subscriptions and subscription acceptance

7.1 Placing a subscription. You may place a subscription via the Site ("Subscription Offer") by providing required information including:

  • Selected products
  • Delivery address ("Specified Address")
  • Contact details

7.2 Accuracy of information. You are responsible for providing accurate and complete information. You must notify us within 48 hours of any inaccuracies. We reserve the right to cancel Subscriptions where inaccuracies create risk (e.g., fraud).

7.3 Trial period. Subscriptions may include a trial period (the "Trial Period"). The Trial Period begins on the date of confirmed device delivery, not the date of order placement. A $0 charge at checkout does not constitute the start of the Trial Period. During this period, you may cancel without penalty. After the Trial Period, standard cancellation terms apply.

7.4 Irrevocability. After the Trial Period, Subscription Offers are irrevocable except at our discretion or by mutual written agreement.

7.5 Contract formation. A Subscription Offer constitutes an offer by you. A binding contract is formed only upon issuance of a Subscription Confirmation by Wisewell.

7.6 Subscription fees. Subscription fees include:

  • Recurring subscription charges
  • Any applicable add-ons or service fees

7.7 Acknowledgement. Receipt of a Subscription order does not constitute acceptance. Acceptance occurs only upon confirmation.

7.8 Changes before fulfillment. Requests to modify Subscription details prior to fulfillment may be accommodated at our discretion but are not guaranteed.

8. Billing and payments

8.1 Payment authorization. By subscribing, you authorize Wisewell to charge your selected payment method for all applicable fees.

8.2 Pre-authorization. Prior to or following the placement of your order, Wisewell may place a temporary authorization hold on your payment method equivalent to one month's subscription fee. This hold is not a charge and will be automatically released within 30 business days.By subscribing, you authorize Wisewell to place such holds as part of our order validation process.

8.3 Pre-authorization at delivery. A second temporary authorization hold equivalent to one month's subscription fee may be placed on your payment method at or around the time of device delivery. This hold is not a charge and will be automatically released within 30 business days.

8.4 Failed pre-authorization. If a pre-authorization hold cannot be processed, Wisewell reserves the right to delay shipment, cancel the order, or contact you to update your payment method before proceeding.

8.5 First billing date. Your first subscription charge will be applied 30 days after confirmed device delivery. A $0 checkout does not initiate billing.

8.6 Recurring billing. Subscription fees are billed on a recurring basis (e.g., monthly) unless otherwise specified.

8.7 Automatic renewal. Subscriptions automatically renew unless cancelled in accordance with these Terms.

8.8 Price changes. We reserve the right to modify pricing with reasonable notice.

9. Failed payments

9.1 If a payment fails:

  • We may retry the payment
  • Your Subscription may be suspended
  • Continued failure may result in termination

9.2 Wisewell reserves the right to recover Subscription Products in the event of non-payment.

9.3 Payment method validity. You are responsible for maintaining a valid and chargeable payment method on file from the date of order placement through the duration of your subscription. Wallet-based payment methods (including Apple Pay, Shop Pay, and Google Pay) may have limitations for recurring billing. Wisewell reserves the right to request a direct card payment method if your payment method on file cannot be successfully charged. You must update your payment method within 30 calendar days of being notified of a failed hold or charge.

10. Pre-Order Validation

10.1 As part of our pre-order fulfillment process, Wisewell may validate orders prior to shipment. This may include placing temporary authorization holds on your payment method as described in Section 8.

10.2 Wisewell reserves the right to cancel orders that fail pre-authorization validation. In such cases, you will be notified and no charges will be applied.

10.3 Order validation does not guarantee product availability or delivery timelines, which remain subject to Section 11. 

11. Delivery and installation

11.1 Delivery timelines are estimates and may vary based on availability and logistics.

11.2 You agree to provide access for delivery and installation where applicable.

11.3 Wisewell is not liable for delays caused by incorrect information, site conditions, or third-party factors.

12. Maintenance and service

12.1 Maintenance services and filter replacements may be included depending on your plan.

12.2 You agree to:

  • Use products in accordance with instructions
  • Allow access for servicing where required

12.3 Failure to comply may affect service performance and warranty.

13. Warranty and disclaimer

Products are provided with a limited warranty against manufacturing defects. This warranty does not cover: misuse or improper handling, unauthorized modifications, or external factors outside our control.

14. Limitation of liability

To the fullest extent permitted by law: Wisewell shall not be liable for indirect or consequential damages. Total liability shall not exceed the amount paid by you in the preceding 12 months.

15. Termination and cancellation

15.1 You may cancel your Subscription in accordance with the cancellation process provided.

15.2 After the Trial Period, early cancellation may be subject to applicable fees or conditions.

15.3 Upon termination:

  • Access to Services may cease
  • Subscription Products must be returned if owned by Wisewell

16. Severability

If any provision is deemed unenforceable, the remaining provisions shall remain in full force.

17. Waiver

Failure to enforce any provision shall not constitute a waiver of rights.

18. Intellectual property

All content, trademarks, and materials remain the property of Wisewell or its licensors.

19. Third-party rights

No third party shall have rights to enforce these Terms unless expressly stated.

20. Termination of services

We reserve the right to suspend or terminate Services where you breach these Terms or fraud or misuse is suspected.

21. Force majeure

We are not liable for delays or failure due to events beyond our control (including natural disasters, outages, or government actions).

22. Governing law

These Terms shall be governed by the laws of the State of Delaware.
